4. International Data Transfers

4.1 Transfer Mechanisms

Personal Data may be transferred to and processed in the United States and other countries. Following the Court of Justice of the European Union's decision in Data Protection Commissioner v. Facebook Ireland Limited and Maximillian Schrems (C-311/18, "Schrems II"), we rely on the following mechanisms for lawful international transfers:

  • EU-US Data Privacy Framework: Where applicable, for transfers to DPF-certified organizations
  • Standard Contractual Clauses (SCCs): EU Commission-approved clauses (2021/914) for data transfers from the EEA
  • UK International Data Transfer Agreement (IDTA): For transfers from the United Kingdom
  • Supplementary Measures: Technical measures including encryption in transit (TLS 1.3) and at rest (AES-256) as required by Schrems II

4.2 Transfer Impact Assessments

In accordance with EDPB recommendations following Schrems II, we conduct Transfer Impact Assessments (TIAs) to evaluate the legal framework of recipient countries. Upon request, we will provide relevant TIA documentation to Controllers.

4.3 Standard Contractual Clauses

For transfers of Personal Data from the EEA to countries not recognized as providing adequate protection, the parties agree that the EU Standard Contractual Clauses (Commission Implementing Decision 2021/914, Module Two: Controller to Processor) are incorporated by reference and form part of this DPA.

4.4 UK Addendum

For transfers of Personal Data from the United Kingdom, the UK IDTA Addendum to the EU SCCs applies, and is incorporated by reference.

4.5 Adequacy Invalidation

In the event that any adequacy decision or transfer mechanism relied upon is invalidated by a court or regulatory authority (as occurred with Privacy Shield in Schrems II), we will promptly implement alternative lawful transfer mechanisms or, if no lawful mechanism is available, work with the Controller to minimize or cease transfers as required.

5. Subprocessors

The Controller grants the Processor general authorization to engage the following Subprocessors. Consistent with German court decisions (Regional Court of Lübeck, 15 O 216/23; Higher Regional Court of Dresden, 4 U 940/24), we maintain written agreements with all Subprocessors imposing equivalent data protection obligations:
