17. Dispute Resolution
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
Binding Arbitration: Any dispute, controversy, or claim arising out of or relating to these Terms, the Service, or your relationship with us shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules, as modified by these Terms. The Federal Arbitration Act (9 U.S.C. §§ 1-16) governs the interpretation and enforcement of this arbitration agreement. The arbitration shall take place in Cheyenne, Wyoming, or at another mutually agreed location.
Class Action Waiver: YOU AND LAWFORGE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding. This waiver is governed by the Federal Arbitration Act and, where applicable, AT&T Mobility LLC v. Concepcion, 563 U.S. 333 (2011).
Informal Resolution First: Before initiating arbitration, you agree to contact us at legal@lawforge.io and attempt to resolve any dispute informally for at least 30 days. Most disputes can be resolved this way.
Exceptions: Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement or misappropriation of intellectual property rights. Small claims court actions are also exempt from this arbitration agreement.
Opt-Out: You may opt out of this arbitration agreement by sending written notice to legal@lawforge.io within 30 days of first accepting these Terms. The notice must include your name, address, and a clear statement that you wish to opt out of arbitration.
18. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law provisions. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the state or federal courts located in Wyoming.
19. Third-Party Services
The Service relies on and integrates with third-party services including, but not limited to, Cloudflare, Stripe, Google OAuth, and legal data providers. You acknowledge that:
- We are not responsible for the availability, accuracy, or performance of third-party services
- Third-party services are subject to their own terms of service and privacy policies
- Outages or changes to third-party services may affect the Service without prior notice
- We are not liable for any damages arising from your use of or reliance on third-party services
20. Business Transfers
In the event of a merger, acquisition, reorganization, bankruptcy, or sale of all or a portion of our assets, your information and these Terms may be transferred to the acquiring entity. You agree that such transfers may occur and that the acquiring entity may continue to use your information as set forth in these Terms and our Privacy Policy.
21. General Provisions
- Entire Agreement: These Terms constitute the entire agreement between you and LawForge regarding the Service and supersede all prior agreements, representations, and understandings
- Severability: If any provision is found to be unenforceable, the remaining provisions will continue in full force and effect
- Waiver: No waiver of any term shall be deemed a further or continuing waiver. Our failure to enforce any provision does not constitute a waiver
- Assignment: You may not assign or transfer your rights under these Terms without our written consent. We may assign our rights and obligations without restriction
- Headings: Section headings are for convenience only and have no legal effect
- Survival: Provisions that by their nature should survive termination shall survive, including indemnification, limitation of liability, and dispute resolution
